ARTICLE 1 – DEFINITIONS
For the purposes of these Terms:"Platform" means PancakePanic and all associated digital resources, reports, research publications, databases, software tools and services."User" means any individual, business, organization or entity accessing the Platform."Company" means PancakePanic and its parent company Pung Technology Ltd, incorporated in England and Wales."Content" means all information, reports, data, research materials, methodologies, graphics, text, software, designs, databases, intellectual property and other materials available through the Platform.
ARTICLE 2 – ACCEPTANCE OF TERMS
Access to the Platform is conditional upon acceptance of these Terms.By accessing or using the Platform, the User expressly agrees to comply with all provisions contained herein and with all applicable laws and regulations.If the User does not agree with these Terms, access to and use of the Platform must immediately cease.
ARTICLE 3 – PURPOSE OF THE PLATFORM
The Platform provides research, educational, informational and analytical resources relating to:• Household budgeting;
• Consumer expenditure analysis;
• Food cost optimization;
• Retail pricing observations;
• Market trend analysis;
• Nutritional cost management;
• Economic and statistical research;
• Related analytical and informational activities.All information made available through the Platform is provided solely for informational, educational and research purposes.Nothing contained on the Platform constitutes legal advice, financial advice, accounting advice, investment advice, nutritional advice, tax advice or any other regulated professional service.Users remain solely responsible for their decisions and actions.
ARTICLE 4 – INTELLECTUAL PROPERTY
All Content displayed, published or otherwise made available through the Platform is protected under applicable copyright, trademark, database, trade secret and intellectual property laws.Without limitation, the following are proprietary assets:• Analytical methodologies;
• Research reports;
• Statistical models;
• Databases;
• Algorithms;
• Budgeting frameworks;
• Software tools;
• Proprietary calculations;
• Branding elements;
• Logos;
• Trade names;
• Publications and documentation.All intellectual property rights are owned exclusively by PancakePanic, Pung Technology Ltd, or their licensors.No right, title or interest in any intellectual property is transferred to any User.
ARTICLE 5 – RESTRICTIONS ON USE
Users shall not:a) reproduce, copy or distribute Content without prior written authorization;b) modify, reverse engineer, decompile or disassemble any software component;c) use automated systems, bots, scrapers or extraction tools to collect data;d) create derivative works based upon Platform materials;e) interfere with the security or operation of the Platform;f) use the Platform for unlawful, fraudulent or misleading purposes;g) falsely represent any affiliation with PancakePanic, Pung Technology Ltd or Dostlar Advisory.Any unauthorized use shall constitute a material breach of these Terms.
ARTICLE 6 – DATA ACCURACY AND NO WARRANTY
The Company endeavours to maintain accurate and reliable information.However, the Company makes no representation or warranty, express or implied, regarding:• Accuracy;
• Reliability;
• Completeness;
• Timeliness;
• Availability;
• Suitability for any purpose.All Content is provided on an "AS IS" and "AS AVAILABLE" basis.To the fullest extent permitted by law, all warranties are excluded.
ARTICLE 7 – LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, neither PancakePanic, Pung Technology Ltd, Dostlar Advisory, nor their respective directors, officers, shareholders, employees, consultants, contractors or affiliates shall be liable for:• Direct losses;
• Indirect losses;
• Consequential losses;
• Economic losses;
• Business interruption;
• Loss of profits;
• Loss of opportunity;
• Loss of data;
• Reputational damage.This limitation applies whether arising in contract, tort, negligence, statutory duty or otherwise.
ARTICLE 8 – THIRD-PARTY CONTENT
The Platform may contain references, citations, links or information relating to third-party organizations, websites, products or services.Such references are provided solely for informational purposes.The Company does not endorse, guarantee or assume responsibility for any third-party content.Users access third-party resources entirely at their own risk.
ARTICLE 9 – USER CONDUCT
Users agree to act lawfully and responsibly when accessing the Platform.Users shall not:• Attempt unauthorized access;
• Circumvent security measures;
• Introduce malicious software;
• Engage in abusive conduct;
• Interfere with Platform operations.The Company reserves the right to suspend or terminate access without notice in the event of any violation.
ARTICLE 10 – INDEMNIFICATION
The User agrees to indemnify, defend and hold harmless PancakePanic, Pung Technology Ltd, Dostlar Advisory and their respective directors, officers, employees, consultants, contractors and affiliates against any claims, liabilities, losses, damages, penalties, costs and expenses, including reasonable legal fees, arising from:• Breach of these Terms;
• Misuse of the Platform;
• Violation of applicable law;
• Infringement of third-party rights.
ARTICLE 11 – CORPORATE DISCLOSURE
PancakePanic is a proprietary research and analytical platform wholly owned and controlled by Pung Technology Ltd, a company incorporated under the laws of England and Wales.Operational oversight, intellectual property management and strategic governance are conducted under the authority of Pung Technology Ltd.Strategic advisory, international compliance support and selected operational consulting services may be provided through cooperation arrangements with Dostlar Advisory and associated professional advisers.Nothing contained herein shall be interpreted as creating a partnership, agency, fiduciary relationship or joint venture with any User.
ARTICLE 12 – MODIFICATIONS
The Company reserves the right to amend, revise, update or replace these Terms at any time.Updated versions shall become effective immediately upon publication.Continued use of the Platform constitutes acceptance of any revised Terms.
ARTICLE 13 – SEVERABILITY
If any provision of these Terms is determined by a court of competent jurisdiction to be unlawful, invalid or unenforceable, such provision shall be severed.The remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.
ARTICLE 14 – ENTIRE AGREEMENT
These Terms constitute the entire agreement between the User and the Company concerning access to and use of the Platform.They supersede all prior communications, representations and agreements relating to the subject matter herein.
ARTICLE 15 – GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of England and Wales.Any dispute, controversy or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
ARTICLE 16 – CONTACT AND LEGAL NOTICES
All legal notices, intellectual property claims, compliance communications and formal correspondence shall be submitted through the official contact channels designated by the Company.The Company reserves the right to determine the appropriate method of response and verification.
